TERMS AND CONDITIONS OF SALE

These Terms and Conditions of Sale (“Terms”) govern access to and use of alessandragallo.it (the “Website”), as well as the purchase of products offered through the Website.

By placing an order through the Website, the Customer acknowledges that they have read these Terms and the other terms, conditions and policies applicable to the purchase.
1. Scope
These Terms apply to the online sale of products offered by ALESSANDRAGALLO S.r.l. through the Website.
“Customer” means any person who purchases one or more products through the Website.
Where the Customer acts as a consumer, the mandatory provisions of Italian Legislative Decree No. 206/2005 (the “Italian Consumer Code”), as subsequently amended, as well as applicable European Union consumer protection legislation, shall apply.
In the event of any conflict between these Terms and any mandatory consumer protection provision, the latter shall prevail.
2. Shopify Platform
Our online store is hosted on the Shopify platform, which provides ALESSANDRAGALLO S.r.l. with the technological infrastructure necessary to operate the Website, checkout, orders and related e-commerce services.
When the Customer visits the Website, makes a purchase or interacts with our store, Shopify collects and processes personal data and information relating to such interactions in order to provide its services.
Shopify Network Intelligence is also enabled on our store. As part of its related advanced services, Shopify may process information relating to the Customer’s interactions with our store, with Shopify and, where applicable, with other Shopify merchants, including in order to enable us and Shopify to provide a more personalised experience, display more relevant advertisements and understand how Customers interact with our store and our advertising communications.
Information relating to the Customer’s activity on our store may be shared with Shopify and third parties that may be located in countries other than the Customer’s country of residence for the purpose of providing such services.

3. Products
The essential characteristics of the products are described on the relevant product pages.
ALESSANDRAGALLO S.r.l. makes every reasonable effort to represent the colours, materials, details and characteristics of its products as accurately as possible.
However, the display of colours may vary depending on the device, screen and settings used by the Customer.
Minor differences in colour, texture, finish or pattern placement resulting from the characteristics of the material, craftsmanship or digital display, and which do not constitute a lack of conformity, shall not be considered product defects.
In particular, printed fabrics, embroidery, lace, sequins and other types of workmanship may present slight variations from one item to another, which are inherent characteristics of the product and its production process.
4. Sizes and Fit
Information regarding sizes, measurements and fit provided on the Website is intended to assist the Customer in selecting the appropriate product.
Fit may vary depending on the style, fabric, construction and individual characteristics.

5. Product Availability
All orders are subject to product availability.
Adding a product to the shopping cart does not guarantee its availability until the order has been completed.
In the exceptional event that a purchased product becomes unavailable after the order has been placed, ALESSANDRAGALLO S.r.l. will inform the Customer as soon as possible.
If the ordered product cannot be supplied, any amount already paid for that product will be refunded.
6. Prices
The applicable prices are those displayed on the Website at the time the order is placed.
The treatment of VAT and any other applicable consumption taxes is determined according to the destination of the order and applicable law.
Any applicable shipping charges and other costs are shown to the Customer before the order is completed.
ALESSANDRAGALLO S.r.l. may change product prices at any time. Such changes will not affect orders that have already been concluded.
In the event of an obvious pricing error, ALESSANDRAGALLO S.r.l. will inform the Customer before fulfilling the order and allow the Customer either to confirm the purchase at the correct price or cancel the order, in which case any amount already paid will be refunded.
7. Ordering Process and Conclusion of the Contract
To make a purchase, the Customer selects the desired products, adds them to the shopping cart and completes the checkout process by providing the requested information.
Before submitting the order, the Customer can review the selected products, price, any additional charges, delivery address and other information relating to the purchase.
Submitting an order entails an obligation to pay.
After submitting the order, the Customer will receive an electronic communication at the email address provided.
ALESSANDRAGALLO S.r.l. may refuse or cancel an order where permitted by law, for example in the event of product unavailability, an obvious error, inability to authorise payment or a reasonable suspicion of fraud.
If an order that has already been paid for is cancelled, the amounts due will be refunded using the original payment method, unless otherwise agreed with the Customer.
8. Payments
The Customer may pay using the payment methods available and displayed at checkout.
Depending on the country, device and availability of the relevant services, these methods may include credit or debit cards, digital wallets, Shop Pay, PayPal, instalment payment services and other payment methods made available at checkout.
The payment methods actually available are those displayed to the Customer during the purchasing process.
Payments are processed through Shopify and/or the relevant payment service providers.
ALESSANDRAGALLO S.r.l. does not directly store full payment card details.
The use of certain payment methods may also be subject to the terms and privacy policies of the relevant provider.
9. Shipping and Delivery
Orders are shipped to the address provided by the Customer during checkout.
Applicable shipping charges are displayed before the order is completed.
Any delivery times indicated on the Website are estimates and may vary depending on the destination, courier, public holidays, customs procedures or circumstances outside the reasonable control of ALESSANDRAGALLO S.r.l.
Delivery will in any event be carried out in accordance with the time limits required by applicable law.
The Customer is responsible for ensuring that the delivery address and other delivery information provided at checkout are accurate and complete.

10. International Shipping, Customs Duties and Taxes
Orders shipped to countries outside the European Union may be subject to customs duties, import taxes, customs clearance charges or other fees imposed by the authorities of the destination country.
Unless expressly stated otherwise at checkout, any customs duties, import taxes and customs clearance charges are the responsibility of the Customer and are not included in the product price or shipping charges.
ALESSANDRAGALLO S.r.l. does not determine the amount of any charges imposed by the authorities of the destination country.
The Customer is responsible for complying with any customs and tax requirements applicable in the destination country.
11. Right of Withdrawal
Customers acting as consumers have the right to withdraw from the contract in the cases and according to the procedures provided for by applicable law.
For consumers in the European Union, subject to the exceptions provided by law, the period for exercising the right of withdrawal is 14 days from the day on which the Customer, or a third party designated by the Customer other than the carrier, acquires physical possession of the products.
To exercise the right of withdrawal, the Customer must notify ALESSANDRAGALLO S.r.l. of their decision by means of an unequivocal statement within the applicable period.

The Customer must return the products without undue delay and in any event within 14 days from the date on which they notified ALESSANDRAGALLO S.r.l. of their decision to withdraw, following the instructions provided by ALESSANDRAGALLO S.r.l.
The Customer is not required to provide a reason for exercising the right of withdrawal.
12. Condition of Returned Products
Returned products must be intact and complete with their labels, accessories and original packaging, where applicable.
The Customer may try on the item only to the extent necessary to establish its nature, characteristics and fit, in the same way as would reasonably be possible in a physical store.
The Customer is responsible for any diminished value of the products resulting from handling beyond what is necessary to establish their nature, characteristics and functioning.
Signs of use beyond the normal fitting of an item may therefore result in a reduction of the refund, to the extent permitted by applicable law.

13. Returns for Refund and Return Fee
Where the right of withdrawal is exercised and the Customer requests a refund, a fixed €10 return fee applies and will be deducted from the amount refunded to the Customer.
This fee represents the direct cost of returning the product using the return service provided by ALESSANDRAGALLO S.r.l.
The Customer will be informed of the procedure for returning the product.
The €10 fee does not apply where the return is due to a defective or non-conforming product and the relevant return costs must be borne by ALESSANDRAGALLO S.r.l. under applicable law.
14. Refund of Initial Delivery Charges
Where the Customer validly exercises the right of withdrawal and applicable law requires the initial delivery charges to be refunded, ALESSANDRAGALLO S.r.l. will also refund the cost of the least expensive standard delivery methodoffered for the order.
Where the Customer selected a delivery method that was more expensive than the least expensive standard delivery option available, the additional cost will not be refunded.
Where the Customer withdraws only in respect of some of the products included in an order, the initial delivery charges will be refunded in the cases and to the extent required by applicable law.
15. Refund Method and Timing
Where the right of withdrawal has been validly exercised, ALESSANDRAGALLO S.r.l. will refund the amounts due within the time limits required by applicable law.
The refund will be made using the same payment method used by the Customer for the original transaction, unless the Customer has expressly agreed otherwise and provided that this does not result in additional costs for the Customer.
Where permitted by law, ALESSANDRAGALLO S.r.l. may withhold the refund until it has received the products or until the Customer has provided evidence that the products have been returned, whichever occurs first.
Where applicable, the €10 return fee referred to in Article 13 will be deducted from the refund.
16. Free Size or Colour Exchange
As an alternative to returning a product for a refund, ALESSANDRAGALLO S.r.l. offers, as an additional commercial service and subject to product availability, the option to request a size or colour exchange.
Exchanges are free of charge for the Customer.
In the event of an exchange, ALESSANDRAGALLO S.r.l. covers:
- the cost of collecting or returning the product to be exchanged;
- the cost of shipping the replacement product.
The €10 return fee applicable to returns for a refund therefore does not apply to exchanges.
Exchanges are subject to availability of the requested size or colour.
If the requested replacement product is unavailable, the Customer may, where the applicable requirements are met, exercise the right of withdrawal and request a refund in accordance with these Terms and the Refund Policy.
Products returned for exchange must meet the same conditions applicable to returned products.
The exchange service is an additional commercial policy offered by ALESSANDRAGALLO S.r.l. and does not limit any statutory rights available to consumers under applicable law.
17. Defective Products and Statutory Guarantee of Conformity
Consumers are entitled to the statutory guarantee of conformity provided for under applicable law and, in the case of Italian consumers, under the Italian Consumer Code.
ALESSANDRAGALLO S.r.l. is liable to consumers for any lack of conformity existing at the time of delivery and becoming apparent within the period provided for by law.
In the event of a lack of conformity, consumers are entitled to the remedies provided for under applicable law, including, where the relevant requirements are met, repair or replacement and, in the circumstances provided by law, a proportionate reduction in price or termination of the contract.
The exercise of the statutory guarantee is not conditional upon notifying ALESSANDRAGALLO S.r.l. of the defect within three days of delivery.
Customers who believe they have received a defective or non-conforming product may contact:

The statutory guarantee does not cover deterioration or damage resulting, for example, from normal wear and tear, improper use, accidents, alterations made by the Customer or failure to follow washing, care or maintenance instructions, to the extent that such circumstances caused the issue in question.
18. Exceptions to the Right of Withdrawal
The right of withdrawal does not apply in the cases expressly provided for by applicable law.
In particular, where applicable, it may be excluded for goods made to the consumer’s specifications or clearly personalised, as well as in other circumstances provided for by law.
Any exclusion applicable to a specific product will be communicated to the Customer before the purchase is completed.
19. Promotions and Discount Codes
Promotions, discount codes and special offers are subject to the specific conditions stated in connection with the relevant promotion.
Unless otherwise stated, promotional codes cannot be exchanged for cash and may be subject to restrictions relating to duration, products, collections, minimum order value or combination with other promotions.
ALESSANDRAGALLO S.r.l. may refuse the fraudulent use of discount codes or promotions or their use in breach of the applicable conditions.
The use of a promotion or discount code does not limit any mandatory rights granted to consumers.
20. Intellectual Property
All content available on the Website, including, without limitation, trademarks, logos, trade names, photographs, images, videos, graphics, text, designs, creative elements and editorial content, is owned by ALESSANDRAGALLO S.r.l. or used under the relevant rights or authorisations.
Such content is protected by applicable intellectual and industrial property laws.
It may not be reproduced, distributed, modified, published, commercially used or otherwise exploited without the prior authorisation of the relevant rights holder, except where expressly permitted by law.
21. Use of the Website
The Customer agrees to use the Website lawfully and not to engage in activities that may compromise its security, integrity or operation.
The Website may not be used for fraudulent or unlawful purposes or in a manner that infringes the rights of ALESSANDRAGALLO S.r.l. or third parties.
ALESSANDRAGALLO S.r.l. may restrict access to the Website in cases of abusive or unlawful use, to the extent permitted by law.

24. Liability
ALESSANDRAGALLO S.r.l. shall be liable to the Customer in the cases and within the limits provided for by applicable law.
Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited, nor does it affect any mandatory rights granted to consumers.
ALESSANDRAGALLO S.r.l. shall not be liable for delays or failures caused by circumstances outside its reasonable control, without prejudice to any mandatory rights granted to consumers.
25. Force Majeure
To the extent permitted by law, ALESSANDRAGALLO S.r.l. shall not be liable for delays or failure to perform its obligations resulting from events outside its reasonable control, including, by way of example, natural disasters, wars, civil unrest, epidemics, measures imposed by public authorities, strikes or widespread disruption to transport or essential services.
This provision does not limit any mandatory rights granted to consumers.
26. Governing Law
These Terms are governed by Italian law.
Where the Customer is a consumer residing in another country, any protection granted by mandatory provisions of the law of the country in which the Customer has their habitual residence shall remain unaffected, where applicable.
27. Dispute Resolution and Jurisdiction
Any dispute relating to these Terms, the Website or purchases made through the Website shall be subject to the jurisdiction of the court determined in accordance with applicable law.
Where the Customer is a consumer, the mandatory rules on territorial jurisdiction provided for by consumer protection law shall remain unaffected, including, where applicable, the jurisdiction of the courts of the consumer’s place of residence or domicile.
For Customers who do not act as consumers, unless otherwise required by mandatory law, the Courts of Genoa, Italyshall have exclusive jurisdiction.
28. Changes to these Terms
ALESSANDRAGALLO S.r.l. may amend these Terms from time to time to reflect changes in applicable law, its organisation, commercial practices or the services offered.
Orders are governed by the version of the Terms in force at the time the relevant sales contract is concluded.
The updated version will be published on the Website together with the date of the latest update.
29. Severability
If any provision of these Terms is found to be invalid, ineffective or unenforceable, the remaining provisions shall continue to be valid and effective to the extent permitted by law.
The invalidity of any provision shall not affect any mandatory rights granted to consumers.
